1. Acceptance of Terms

By submitting this application and placing orders with Imperial Packaging Corp. ("Imperial Packaging," "we," "us"), Customer agrees to be bound by these Terms & Conditions of Sale, as may be updated from time to time.

2. Pricing & Payment

All prices are subject to change without notice. Unless credit terms have been approved in writing, all orders are due upon receipt. Approved net-terms accounts must remit payment within the agreed term from the invoice date.

3. Credit Terms

Extension of net payment terms is at Imperial Packaging's sole discretion and subject to a separate credit review process. Imperial Packaging reserves the right to suspend shipments or revoke credit terms for any account with a past-due balance.

4. Delivery & Risk of Loss

Delivery dates are estimates only. Risk of loss passes to Customer upon delivery to the carrier at Imperial Packaging's shipping dock (FOB Origin), unless otherwise agreed in writing.

5. Returns

Custom and made-to-order packaging is not returnable. Standard stock items may be returned within 30 days in original, unused condition, subject to a restocking fee.

6. Limitation of Liability

Imperial Packaging's liability for any claim arising from the sale of goods is limited to the purchase price of the goods giving rise to the claim. Imperial Packaging is not liable for indirect, incidental, or consequential damages.

7. Governing Law

These terms are governed by the laws of the state in which Imperial Packaging is headquartered, without regard to conflict-of-law principles.
